1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website operated by Berring Industrial ("Berring Industrial," "we," "us," or "our") and any services, communications, or transactions arising from your use of the Site. By accessing the Site or submitting an enquiry, you agree to these Terms in full. If you do not agree, you must not use this Site or engage our services.

Berring Industrial reserves the right to modify these Terms at any time without prior notice. Continued use of the Site following any modification constitutes your acceptance of the revised Terms.

2. Nature of Services

Berring Industrial provides global industrial component sourcing, supplier qualification, quality control coordination, and import and logistics services to business clients ("Services"). The information presented on this Site is for general informational purposes only and does not constitute a binding offer or guarantee of service availability.

Submission of an enquiry through the Site does not create a contractual obligation on the part of Berring Industrial to provide any services. A binding agreement arises only upon the execution of a written contract or purchase order signed by an authorized representative of Berring Industrial.

3. Quotes, Pricing, and Lead Times

All pricing, lead times, and availability information provided by Berring Industrial — whether through this Site, by email, or otherwise — is indicative only and subject to change without notice. Prices are not guaranteed until confirmed in a formal written quotation and accepted by both parties.

Berring Industrial reserves the right to:

• Decline any enquiry or order at its sole discretion without providing a reason
• Withdraw or revise any quote prior to the formation of a written agreement
• Adjust pricing to reflect changes in supplier costs, currency fluctuations, tariffs, duties, or freight charges

4. Client Responsibilities

The client is solely responsible for:

• Providing accurate, complete, and timely specifications, drawings, and requirements for all components
• Ensuring that the components sourced are fit for their intended application
• Verifying that sourced components comply with all applicable regulations, standards, and certifications in their jurisdiction
• Obtaining any import permits, licenses, or regulatory approvals required in their country

Berring Industrial shall not be liable for any loss, damage, or non-compliance arising from inaccurate, incomplete, or late client-provided specifications.

5. Disclaimer of Warranties

THIS SITE AND ALL INFORMATION, CONTENT, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

Berring Industrial does not warrant that:

• The Site will be uninterrupted, error-free, or free of viruses or harmful components
• Any information on the Site is accurate, complete, current, or reliable
• Any component sourced will be free of defects beyond what is warranted by the original manufacturer

Any manufacturer's warranty on sourced components is solely between the client and the manufacturer. Berring Industrial does not extend, modify, or adopt any manufacturer warranty as its own.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BERRING INDUSTRIAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THIS SITE OR OUR SERVICES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunity
• Production downtime or delays
• Cost of substitute goods or services
• Data loss or corruption
• Any claims arising from delays caused by suppliers, freight carriers, customs authorities, or other third parties

In no event shall Berring Industrial's total aggregate liability to any party exceed the total amount paid by that party to Berring Industrial in the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater.

7. Third-Party Suppliers and Logistics Providers

Berring Industrial acts as an intermediary between clients and third-party suppliers, manufacturers, freight forwarders, and customs brokers. Berring Industrial does not manufacture any components and is not responsible for the acts, omissions, or failures of any third-party supplier, carrier, or logistics provider.

Delays, shortages, quality failures, or other issues attributable to third parties shall not constitute a breach by Berring Industrial. Berring Industrial will use commercially reasonable efforts to resolve such issues on the client's behalf but makes no guarantees as to outcome.

8. Force Majeure

Berring Industrial shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government actions, trade embargoes, port closures, natural disasters, strikes, or supply chain disruptions.

9. Intellectual Property

All content on this Site — including text, graphics, logos, icons, and design elements — is the exclusive property of Berring Industrial and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without the prior written consent of Berring Industrial.

10. Confidentiality

Any specifications, drawings, business requirements, or other technical or commercial information you share with Berring Industrial in connection with a sourcing enquiry will be treated as confidential and used solely for the purpose of responding to and fulfilling that enquiry. Berring Industrial will not disclose such information to unauthorized third parties without your consent, except as necessary to engage qualified suppliers or as required by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Berring Industrial and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of this Site or our Services; (b) your violation of these Terms; (c) inaccurate or incomplete specifications or requirements provided by you; or (d) your violation of any applicable law or regulation.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Prior to initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than thirty (30) days.

13. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any written service agreement executed between the parties, constitute the entire agreement between you and Berring Industrial with respect to the subject matter hereof and supersede all prior or contemporaneous representations, understandings, or agreements, whether written or oral.
